Our business transaction group’s corporate attorneys represent clients in all stages of the business cycle, from corporate formation or acquisition to sale or liquidation. Our experience includes assisting individual entrepreneurs, investors, startups, established companies and law firms in a variety of transactions, such as:

  • Negotiating and drafting corporate organizational documents and operating agreements for limited liability companies.
  • Debt and equity financings, including asset based lending, private placement memoranda preferred stock provisions, venture capital documents, compliance with Federal and State securities laws, and structuring intra-company relationships.
  • All types of contracts, including shareholder, employment, consulting, product supply, distributor, licensing, joint venture, software development and e-commerce agreements.
  • Mergers, asset and stock acquisitions and dispositions, reorganizations, recapitalizations and business succession planning.
  • Cross border transactions, including buying and selling companies to or from overseas parties, use of letters of credit in import and export transactions, and negotiating and preparing transnational agency, distributor, intellectual property licensing and joint venture contracts.

Our business transaction group’s real estate attorneys represent sellers, buyers, investors, owners, developers, managers and lenders in the acquisition, financing, leasing, construction, renovation, management, operation and disposition of improved and unimproved real property. Our expertise extends to all facets of the real estate business, including office buildings, residential subdivisions, the home building industry, retail centers, industrial projects, multifamily projects and mixed use developments. We represent real estate lenders in all aspects of a commercial loan transaction, including loan originations, due diligence and closings, loan workouts, restructurings and foreclosures. We have been called upon to provide local counsel opinion letters on real estate transactions that have ranged in excess of $1.5 billion.
