Experience
Ms. Mangine has extensive transactional experience, including corporate acquisitions and mergers, strategic alliances, issuer representation in public and private offerings of equity and debt securities, formation and governance of business entities, and general corporate representation. She also has significant experience and expertise in counseling retailers and other stored-value card issuers regarding their prepaid stored value card programs, from both a regulatory compliance and transactional perspective. Prior to joining Douthit Frets Rouse Gentile & Rhodes, Ms. Mangine was in-house counsel at Sprint Corporation and Sprint PCS, where she led Sprint PCS' $5.1 billion start-up financing and was counsel to Sprint for its nationwide PCS affiliate program. Some representative transactions that she has worked on include:
- Implementation of compliance reviews for retailers and other issuers of stored-value prepaid cards.
- Preparation and review of stored-value card disclosures and accompanying terms and conditions.
- Negotiation of multi-vendor secured financing transations.
- Negotiation of secured bank financing transactions.
- Preparation of private placement memoranda and state and federal securities filings.
- Negotiation of mergers and acquisitions, with emphasis in telecommunications and advertising industries.
- Formation of multi-party strategic alliances, and restructuring of same to meet rapidly changing business needs and conditions.
