Experience
Robert S. Herman is an experienced lawyer focusing on commercial real estate, commercial real estate finance, commercial transactions, business formation and governance, business operations, estate planning and business succession planning. Bob uses strategy, skill, and experience to effectively define and accomplish his client's desired personal, financial and business goals. He takes the time to understand each unique objective and will explore all options and alternatives available to achieve them.
Bob has extensive experience in all phases of commercial real estate transactions including formations of real estate joint ventures, partnerships and equity investments, negotiations of sale and acquisition contracts, lender and borrower representation, performance of due diligence, and representation of both landlords and tenants. He represents banks and other lending institutions in all aspects of commercial real estate loan transactions from originations to loan modifications and workouts, to foreclosures.
Bob's experience in business formation and governance includes preparation and negotiation of stock and asset purchase agreements, shareholder and operating agreements, employment agreements, confidentiality and non-disclosure agreements, covenants of non-competition and non-solicitation and management agreements.
Bob is also experienced in the creation of Wills and trusts and other estate planning tools in order to meet his clients' objectives of providing for themselves and loved ones in the most comfortable manner possible, while minimizing or eliminating the expense of probate and estate taxes.
