EXPERIENCE

Valerie’s transactional experience includes corporate acquisitions and mergers, strategic alliances, issuer representation in public and private offerings of equity and debt securities, formation and governance of business entities, and general corporate representation. In 1996, Valerie joined the legal department of Sprint PCS where she focused on financing transactions, corporate acquisitions and mergers and strategic alliances. Valerie led Sprint PCS' $5.1 billion start-up financing and was counsel to Sprint for its nationwide PCS affiliate program. She returned to private practice in 2002. Some representative transactions that she worked on while at Sprint and in private practice include:

• Negotiation of multi-vendor secured financing transaction.
• Negotiation of secured bank financing transactions.
• Preparation of private placement memoranda and state and federal securities filings.
• Negotiation of mergers and acquisitions, with emphasis in telecommunications and advertising industries.
• Formation of multi-party strategic alliances, and restructuring of same to meet rapidly changing business needs and conditions.
• Formation of strategic alliance between companies in U.S. and Mexico.
• Structuring and negotiation of financing for commercial and residential real estate development projects.
• Negotiation of employment and non-compete agreements.
